1. Acceptance of Terms

By accessing or using the SmartDoc platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User") and Ophie AI Pte. Ltd. ("Ophie AI", "we", "us", or "our"), the provider of SmartDoc.

2. Service Description

SmartDoc is a document analysis solution offered by Ophie AI that uses proprietary and third-party artificial intelligence technologies to extract structured data from documents and generate analytical outputs including scores, comparisons, and summaries. The Service processes uploaded documents using native and third-party services to provide analysis and reporting.

4. Data Privacy & Document Handling

We are committed to protecting your data and have designed the Service with reference to the Personal Data Protection Act 2012 of Singapore ("PDPA") and applicable data protection laws.

4.1 Roles and Responsibilities

You (or your organisation) are the data controller for all documents and data uploaded to the Service. Ophie AI acts as a data intermediary, processing your data on your behalf for the purpose of delivering the Service. You are responsible for ensuring you have a lawful basis under the PDPA (or other applicable laws) to collect, use, and disclose any personal data contained in documents you upload.

4.2 How We Process Your Data

• Documents you upload are processed using a combination of proprietary and third-party services for the purpose of delivering the Service. Ophie AI does not use your content for any purpose other than providing, maintaining, and improving the Service (such as monitoring performance and fixing issues).
• Ophie AI does not use your content to train its own artificial intelligence or machine learning models. Where third-party services are used in processing, their use of data is governed by their respective terms and policies. We select third-party providers that offer appropriate data protection commitments.
• We implement appropriate technical and organisational measures to protect your data, including encryption and access controls. Your data is logically segregated from other organisations.
• We do not sell your data. We do not share your data with third parties except as necessary to operate and deliver the Service.

4.3 Sub-Processors

To deliver the Service, we engage third-party sub-processors in the following categories: cloud infrastructure providers, artificial intelligence and machine learning service providers, and data storage providers. We select sub-processors that maintain commercially reasonable security practices and whose terms of service include data protection commitments.

4.4 Cross-Border Transfers

Your data may be transferred to and processed in jurisdictions outside of Singapore as part of the Service's operation. By using the Service, you acknowledge and consent to such transfers. We select third-party providers that maintain data protection practices consistent with industry standards.

4.5 Retention and Deletion

We retain your data only for as long as necessary to provide the Service. Upon termination or at your request, your data will be deleted in accordance with Section 11. You may request earlier deletion of data containing personal information at any time by contacting us.

5. User Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to use the Service only for lawful purposes.
• You must ensure you have the necessary rights and authorisations to upload and process any documents submitted to the Service, including any personal data contained therein.
• Where documents contain personal data of third parties (such as employee records, claims, or identification documents), you are responsible for ensuring that such data has been collected, used, and disclosed in accordance with the PDPA and any other applicable data protection laws, including obtaining any required consent.
• You shall not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, or scrape, overload, or abuse the platform.

6. Indemnification

You agree to indemnify, defend, and hold harmless Ophie AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your upload or processing of documents that you do not have the right to use; (b) your processing of personal data in violation of the PDPA or other applicable data protection laws; (c) your use of the Service's outputs in a manner that causes harm to any third party; or (d) your breach of these Terms.

7. Force Majeure

Ophie AI shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, government actions or orders, power or internet outages, failures of third-party service providers, or cyberattacks.

8. Service Availability

Ophie AI does not guarantee any specific level of availability or uptime for the Service. The Service may be subject to scheduled maintenance, unplanned outages, or interruptions. Any specific service-level commitments, if applicable, will be set out in a separate agreement between you and Ophie AI.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Ophie AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service.

In no event shall Ophie AI's aggregate liability exceed the total fees paid by you to Ophie AI during the twelve (12) months preceding the claim.

10. Intellectual Property

Subject to these Terms, Ophie AI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. Ophie AI retains all rights, title, and interest in and to SmartDoc and the Service, including all related intellectual property rights. You retain ownership of all documents you upload and data extracted therefrom. By uploading documents, you grant Ophie AI a limited licence to process them solely for the purpose of providing the Service.

11. Termination & Data Retention

Either party may terminate access to the Service at any time. Upon termination or cancellation, the following data retention timeline applies:

• Your workspace is suspended at the end of your billing period. Data is preserved during the suspension window.
• 30 days after suspension: you receive a warning email that permanent deletion is approaching.
• 60 days after suspension: you receive a final warning email.
• 90 days after suspension: all documents, projects, comparisons, chat history, and schema templates are permanently and irreversibly deleted.

You may request earlier deletion at any time by contacting us. For data containing personal information, we will honour deletion requests promptly in accordance with applicable data protection laws.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we do, we will publish a new version and you will be required to accept the updated Terms before continuing to use the Service. Your continued use of the Service after accepting updated Terms constitutes acceptance of the modifications.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith mediation administered by the Singapore Mediation Centre. If the dispute is not resolved within sixty (60) days of the mediation request, either party may submit the dispute to the exclusive jurisdiction of the courts of Singapore.

15. General

• Entire Agreement. These Terms, together with any separate agreements expressly referenced herein, constitute the entire agreement between you and Ophie AI with respect to the Service and supersede all prior communications and proposals.
• Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver. The failure of Ophie AI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. You may not assign or transfer these Terms or your rights hereunder without the prior written consent of Ophie AI. Ophie AI may assign these Terms without restriction.
